Commercial relationships must be carefully considered, clearly documented, and properly managed to be effective.

Properly drafted contracts are at the heart of every successful business. Whether it’s with suppliers, customers, or agents, watertight agreements are the best way to protect your business interests and manage risks.

The work that our Commercial team does has a strong technology bias and we advise a broad range of clients across a number of sectors including med-tech and lifesciences, software and IT, telecoms, digital media, universities, and spinouts.

We have extensive experience in advising companies (whether supply-side or end-user/demand-side) on the legal, regulatory, contractual, and commercial aspects that arise including:

  • Joint ventures, collaboration agreements, and strategic alliances
  • Outsourcings and major contracts
  • Software licensing agreements and distribution arrangements
  • End user license agreements
  • Digital media and entertainment arrangements
  • Franchise, distribution, agency, and standard form commercial terms of supply and purchase

We also offer advice on financial regulatory issues including FCA, consumer credit, anti-money laundering, and terrorist financing obligations.

By identifying the key commercial issues and the right strategic approach, we ensure that you are contracting with the other party on the best terms possible.
